Terms of Service

These terms and conditions define the rules under which All-Chemist provides its services to clients. Please read these conditions carefully.

Article 1 — Definitions

In these terms, the following definitions apply:

  • Client: the natural or legal person commissioning the work;
  • Contractor: All-Chemist;
  • Services: all activities performed by the contractor, including consultancy and laboratory analysis.

Article 2 — Applicability

These terms apply to all offers, quotations, and agreements between contractor and client, unless otherwise agreed in writing.

Article 3 — Quotations and agreements

Our quotations are without obligation unless stated otherwise. An agreement is established upon written confirmation or upon commencement of the work.

Article 4 — Execution of the assignment

The contractor shall execute the assignment to the best of their ability and in accordance with professional standards. Unless agreed otherwise, interim advice and reports are documented in writing.

Article 5 — Changes and additional work

Changes to the assignment must be documented in writing. Additional work will be charged separately.

Article 6 — Prices and payment

Rates are exclusive of VAT unless stated otherwise. Invoices must be paid within the term stated on the invoice. If payment is not made on time, the client is in default and statutory interest applies.

Article 7 — Liability

The liability of the contractor is limited to the amount paid out in the relevant case by the liability insurance, plus the deductible. If no insurance payout occurs, liability is limited to the invoice amount of the assignment or work performed in the past year.

Article 8 — Intellectual property

Unless agreed otherwise, all intellectual property rights remain with the contractor. The client receives a usage right for the agreed purpose only.

Article 9 — Confidentiality

Both parties commit to confidentiality of sensitive information. Data may only be shared with mutual consent unless legally required otherwise.

Article 10 — Duration and termination

An agreement may be terminated by either party according to the terms described in the contract. Termination must be done in writing.

Article 11 — Force majeure

In cases of force majeure, the contractor is entitled to suspend execution or dissolve the agreement without liability for damages.

Article 12 — Applicable law and jurisdiction

These terms are governed by Dutch law. Disputes will first be submitted to the competent court in the district where the contractor is located, unless mandatory laws dictate otherwise.
